Terms of Service

These terms are the agreement between you and Vorixpay when you use it to accept payments. They describe a service that never holds your money, which changes what we can promise and what you are responsible for. Please read section 4 and section 7 in particular: they cover the two things merchants are most often surprised by.
1.Who you are contracting with
Vorixpay (“we”, “us”) provides this service. “You” means the business or person using it to accept payments. The service is non-custodial: it never holds your money, which changes what we can promise and what you are responsible for.

2.What the service does
We issue blockchain addresses on your behalf and watch them for stablecoin payments. When a payment arrives and is confirmed, a contract moves it: your share to the wallet you registered, and our fee to us. You get a dashboard, an API, payment links and webhooks describing what happened.
We support USDT and USDC on BNB Smart Chain and Ethereum, and on both of their test networks. Which networks and tokens are available can change.
3.What the service does not do
We are not a bank, an exchange, a custodian or a money transmitter, and we do not hold your funds at any point. There is no balance with us to top up, withdraw or freeze. A payment goes from your customer to an address that can pay out to exactly two places: the wallet you registered, and our fee.
The practical consequence is that we cannot move your money, and we cannot get it back for you either. If you register a wallet you do not control, or lose access to the wallet you registered, we have no ability to recover what was paid into it.
4.Payments are final
A confirmed blockchain payment cannot be reversed by us, by your customer, by the network or by anyone else. There are no chargebacks and no reversals.
If you need to refund a customer, you do it yourself from your own wallet, as a separate payment. We can show you what was received; we cannot undo it. Any dispute about goods or services is between you and your customer.
5.Your account
- Give accurate registration details and keep them current.
- You are responsible for everything done with your API keys, your password and your two-factor codes. Treat an API key as a credential that can create invoices and read your customer records.
- Tell us promptly if you believe an API key or your account has been compromised, so it can be revoked.
- You must be legally capable of entering this agreement, and using the service must be lawful where you are.
6.Your payout wallet
You register a payout wallet per network by signing a message with that wallet. Only a signature from the wallet itself can register or change it, and a change takes effect after a 24-hour delay. That delay exists so a change you did not make is visible to you before it takes effect.
Registering an address you do not control, or one belonging to an exchange or a service that does not credit arbitrary incoming transfers, may mean your money is unrecoverable. Check the address, on a block explorer, before you hand out a payment address.
7.Fees
We charge a percentage of each payment, set per network, plus a minimum fee per token so that collecting a small payment is not worth less than the transaction that collects it. The fee is taken by the contract at the moment your money is collected — you never pay us separately and you never fund a balance.
An invoice’s rate is fixed when the invoice is created and cannot be changed afterwards. Permanent customer addresses use the rate in force when a payment is collected. Current rates are on the pricing page, and the minimum for each token is shown before you raise an invoice.
We pay the network fee (gas) for collecting your funds. We may change our rates; changes apply to invoices and collections after the change, never retrospectively.
8.When your money moves
We collect funds into your wallet automatically, but not instantly. A balance below the collection minimum for that token waits until it grows or until 24 hours have passed, whichever comes first, so that gas is not spent moving an amount too small to be worth it. Collection also pauses while network fees are above the ceiling we set for that network, and resumes when they fall.
Money waiting in a deposit contract is still yours and can still only reach your wallet. Your dashboard shows what is waiting and why.
9.What you may not use it for
You may not use Vorixpay to take payment for, or in connection with:
- anything illegal where you or your customer are;
- money laundering, terrorist financing, sanctions evasion, or on behalf of a person or country subject to applicable sanctions;
- fraud, deception, or goods and services you cannot lawfully supply;
- a regulated activity you are not licensed for, including operating an exchange, taking deposits, or providing payment services to third parties;
- disguising the source of funds, including layering payments through addresses we issue.
You are responsible for your own licensing and registration. Accepting payment in stablecoins may itself be regulated where you operate, and nothing here is permission to do something your own regulator requires a licence for.
10.Your customers' data
Where you store customer names, emails or phone numbers with us, you decide what is collected and why; we process it to run the service for you. You are responsible for having a lawful basis for that data and for telling your customers what happens to it. Our privacy policy describes what we do with it.
11.Suspension and ending the agreement
You can stop using the service at any time. Your payout wallet registration lives on the blockchain and is unaffected by closing your account.
We may suspend or close an account that breaks section 9, that we are legally required to act against, or that puts the service or other merchants at risk. Suspension stops new invoices and API access. It does not, and cannot, take your money: funds already paid still settle only to the wallet you registered.
12.The state of the software
The contracts this service depends on have not been reviewed by an external security firm. They are live on mainnet. We say so on the security page and we are saying it here: size the money you put through this accordingly.
The service is provided as it is, without warranty of any kind. We do not promise it will be uninterrupted, that a blockchain network will be available, that a payment will be confirmed in any particular time, or that a third-party node or token contract will behave as expected.
13.Liability
Nothing in these terms limits liability that cannot lawfully be limited, including for fraud or death or personal injury caused by negligence.
Subject to that, our total liability to you for any claim arising from the service is limited to the fees you paid us in the three months before the claim. We are not liable for loss of profit, loss of business, or loss of funds caused by: a wallet address you provided, a key you lost or exposed, a blockchain reorganisation, a failure or exploit in a token contract, an act of a network validator, or a service outage outside our control.
14.Indemnity
You will cover us against claims, losses and reasonable legal costs arising from your use of the service in breach of these terms, your breach of a law or licence that applies to you, or a dispute between you and your customer.
15.Changes, governing law and disputes
We may change these terms. Material changes will be notified by email to the address on your account, and take effect no sooner than 14 days after that notice. Continuing to use the service after that is acceptance.
The governing law and the courts with jurisdiction over any dispute will be stated here before the service is relied on commercially. Until then, nothing in this section waives any right you have under the law that applies to you where you are.
If any clause is unenforceable, the rest stands. Our not enforcing something immediately does not waive it.
